DISTANCE SALES CONTRACT

1. PARTIES

This Distance Sales Contract (“Contract”) is between:

• Seller: Spinex IO (“Turp”), developed and owned by Spinex IO, in collaboration with Omega Care LTD, the Health Service Provider.

This contract governs the sale of services and goods provided through Turp’s systems, including Remote Patient Monitoring Systems developed to assist healthcare professionals in monitoring patients and athletes before or after treatments or training sessions.

2. DEFINITIONS

For the purpose of this Contract:

• Minister: Minister of Trade.
• Ministry: Ministry of Trade.
• Law: Law on Consumer Protection No. 6502.
• Regulation: Regulation on Distance Sales Contracts.
• Service: Any paid or promised service other than the provision of goods, including the use of the Turp systems and related devices.
• Seller: Spinex IO.

3. SUBJECT

This Contract outlines the rights and obligations of the parties regarding the sale and delivery of goods and services, as detailed below, ordered electronically via Turp’s website or mobile application in accordance with Law No. 6502.

The prices listed on Turp’s website or application are the applicable sales prices. These prices are valid until updated or changed by Turp.

4. CUSTOMER INFORMATION

The CUSTOMER acknowledges and accepts the following:

1. Turp’s corporate identity and up-to-date contact information are available on its website.
2. The stages of the sales process and tools for correcting errors are detailed during the purchase process.
3. Membership in relevant professional organizations and other details are accessible.
4. Complaints can be directed to District/Provincial Arbitration Committees or Consumer Courts.

5. ORDER AND PAYMENT TERMS

1. Products and Services: The specifications, prices, and additional fees for goods and services are detailed on the website and application.
2. Shipping: Costs for delivery, taxes, and additional fees are borne by the CUSTOMER unless specified otherwise.
3. Delivery: Products are delivered within 30 days unless otherwise stated. Delays beyond this period entitle the CUSTOMER to terminate the Contract.

6. GENERAL PROVISIONS

1. The CUSTOMER confirms the preliminary information and terms electronically before completing the order.
2. Each product is delivered in full compliance with its specifications within the specified period unless delayed due to unforeseen circumstances (e.g., force majeure).
3. Turp reserves the right to offer an equivalent product or service if the ordered product is unavailable.
4. Payment must be received in full for the delivery obligation to take effect.

7. RETURN AND CANCELLATION POLICY

1. Right to Withdrawal: The CUSTOMER has 14 days to withdraw from the purchase without providing any reason.

   • Products must be returned unused, undamaged, and with all packaging and accessories intact.
2. Non-Refundable Products:

8. INTELLECTUAL PROPERTY

All intellectual and industrial rights for content and designs on Turp’s systems belong to Spinex IO. Unauthorized use, copying, or distribution is prohibited.

9. CUSTOMER OBLIGATIONS

The CUSTOMER agrees:

1. To provide accurate personal information during the order process.
2. To use Turp’s services and products within legal and ethical guidelines.
3. To maintain confidentiality and security for any devices connected to Turp’s systems.

10. GOVERNING LAW AND JURISDICTION

This Contract is governed by the laws of the United States. Any disputes arising from this Contract will be resolved by Consumer Courts or Arbitration Committees within the CUSTOMER’s jurisdiction, based on monetary limits defined in applicable legislation.

11. EFFECTIVENESS

This Contract takes effect upon electronic acceptance by the CUSTOMER and payment of the order. Turp ensures the Contract is accessible for review and confirmation during the purchase process.

By proceeding with the purchase, the CUSTOMER confirms understanding and acceptance of the terms detailed in this Contract.
